BY-LAWS FOR STEELWINGS KIMBERLEY
1. TITLE
This shall be called the BY-LAWS OF STEELWINGS KIMBERLEY and shall come into effect after it has been adopted by members in a special general meeting convened for that purpose and approved by the National President’s Council and shall henceforth become binding on all members jointly and severally. Three Executive Committee members should sign on the adopting of the by-laws.
2. OBJECTIVE
The main objective of this Club shall be to operate a social organization to promote the use and enjoyment of motorcycles. This Club shall be dedicated to bringing together people interested in Harley-Davidson®, as well as the ideas and principles of safe motorcycling.
3. MEMBERSHIP
Steelwings Kimberley has adopted the Rider and Pillion Membership method. Pillion membership can only be obtained with the explicit agreement of the rider. All members shall have the right to attend any Club-meeting and to participate in any event involving Steelwings Kimberley.
Classes of Membership:
3.1 Rider
3.1.1 Must own and ride his/her own Harley-Davidson®;
3.1.2 Must have a valid driver’s/learner driver’s licence;
3.1.3 Paid membership-fees.
3.2 Pillion
3.2.1 Must be a pillion rider to Ordinary member;
3.2.2 Paid membership-fees;
3.2.3 For a pillion member to become a rider, it will be expected of him/her to meet the same criteria as set out in paragraph 6.2 to 6.7.
3.3 Senior Member
3.3.1 Must have attained the age of 65 years;
3.3.2 Must be retired;
3.3.3 Must have been a paid up member for an uninterrupted period of 10 years;
3.3.4 Will have the same rights as Ordinary Members;
3.3.5 Senior member will be exempted from the annual membership-fee.
3.4 Honorary Member
3.4.1 Honorary membership of the Steelwings Kimberley Club is a prestigious award granted in recognition of a member’s meritorious service. The criteria set down require that a nominee for Honorary Membership -
3.4.1.1 Must have been a full member of the Club for a minimum of 10 years;
3.4.1.2 Must have served on Steelwings Kimberley Executive Committee for a minimum of 3 years;
3.4.1.3 Made a significant contribution as a member, assisting the promotion and development of the Club;
3.4.1.4 Contributed to certain achievements reached by the Club;
3.4.2 Nominations for Honorary membership can be made to the Committee, which will then be voted for at the Annual General Meeting. Honorary membership however must be approved by the National President’s Council;
3.4.3 Honorary members will be exempted from the annual membership-fee.
4. ONCE-OFF REGISTRATION FEE (NEW MEMBERS)
A once-off registration fee that shall be determined from time to time by the Club Committee will be payable upon joining the Club. Such fees will be applied towards administration of registration, procurement of club colours and name badges. This fee will only be payable once a new member has been accepted into the Club. Although these funds will be utilized to procure club colours, it does not constitute ownership of such colours and should be returned upon resignation from the Club.
5. ANNUAL MEMBERSHIP
An annual membership-fee that shall be determined from time to time by the Club Committee will be payable for renewal of membership to Steelwings Kimberley. Renewal of membership can be refused by the Committee should more than two-thirds of existing paid-up members demand such action. In the case of such refusal, a full refund will be made to the said applicant.
Membership fees are due before the start of the Annual General Meeting. Upon arrangement with the Committee, the annual membership-fee can be paid in three (3) consecutive instalments to be completed before the start of the Annual General Meeting. In the case of new members, the annual membership fee will be calculated pro-rata for the remaining months of the year.
If membership fees are not paid by the end of March, a person will lose his/her membership.
Only paid-up members will have the right to a ballot in any club meeting.
6. APPLICATION CRITERIA FOR MEMBERSHIP
6.1 An applicant can only join if invited by an existing Steelwings member.
6.2 An applicant will be invited to ride with the Club through the Club member as sponsor who will vouch for the applicant and be responsible for all communication with such applicant.
6.3 A valid driver’s/learners licence has to be produced before the first ride with the Club.
6.4 An applicant will be expected to sign a disclaimer form indemnifying the Club of any liability arising out of participation and/or injury and/or death arising out of the activities of the Club.
6.5 An applicant will have to actively ride with the Club for a period of at least three (3) months. During this period it will be expected of such applicant to attend as many activities possible arranged by the Club. During this period it is expected of existing Steelwings members to attend as many activities possible to be able to form an opinion of the applicant.
6.6 An applicant must attend two (2) Club-meetings, two (2) short out-rides, as well as one (1) sleep-over Club-ride/Rally.
6.7 All members and applicants must be in possession of a Harley-Davidson® bike acceptable to the Committee.
6.8 No membership to the Club will be granted unless majority of all paid-up members are in agreement with such new member joining. After the three (3) month period, all members will be notified by email of the intended acceptance of the applicant at the next Club meeting. Acceptance will be voted upon at the Club meeting by ballot. Two thirds majority vote is needed in order for membership to be granted. The applicant will not be present during the ballot.
7. OFFICE BEARERS
The day to day running of the affairs of the Club shall vest on the President and his Executive.
The Executive consists of the following:-
1. The President;
2. The Vice President;
3. The Secretary;
4. The Treasurer;
5. The Road Captain;
6. The Events Co-ordinator;
7. The Public Relations Officer.
A person nominated for appointment into an executive office:
a) Shall be a member in good standing within the Club.
b) Shall have been a member of the Club for a consecutive period of at least 12 months. Provided in case for nominees for president, the nominees shall have been
a member for at least 24 months.
c) In the event of a person found guilty in a disciplinary hearing, a period of 24 months should pass, before this person could be nominated for the executive office, depending on his/her behaviour and attitude in the Club.
Duties shall include but are not limited to:
7.1. The President– Executive Member
The President shall:
a) Oversee the smooth running of meetings and activities of the Club;
b) Ensure that all appointed members uphold the duties in respect of which they have been appointed;
c) Convene all meetings of the Club;
d) Sign external contracts on behalf of the Club;
e) Mediate any disputes in the Club with the Executive Committee;
f) Ride in front of the pack;
g) Liaise between the various Chapters and the National Presidents Council, and attend national meetings when necessary;
7.2. The Vice President – Executive Member
The Vice President shall:
a) Become the President in the absence of the President or should the President for any other reason become incapacitated or unable to continue or fulfil his duties during the tenure of office;
b) Assist all members of the committee with their tasks should it be required or if they are not available.
7.3. The Secretary – Executive Member
The Secretary shall:
a) Be responsible for the administrative and clerical needs of the Club. Be responsible for taking and keeping of minutes at all meetings held by the Executive Committee, as well as Club meetings;
b) Be responsible for sending out notifications about upcoming meetings to all Committee and Club members no later than five (5) days before the meetings which specifies about the time, date and place of the meeting as well as the agenda for the meeting;
c) Be responsible for keeping an attendance register and records of all meetings either on disc or file;
d) Be responsible for the dissemination of all communications and information to Committee and Club members by means of email or sms;
e) Be responsible for keeping an up to date birthday list of all members and sending an e-mail monthly to all members with birthday information and any notifications of the Club;
f) Be responsible for sending out the notice of the Annual General Meeting to all members twenty-one (21) calendar days prior to the date of the meeting;
g) Be responsible for informing members of upcoming positions on the Executive Committee for nominations;
h) Be responsible for keeping record of all members of the Club – signed membership-forms, indemnity forms, medical information, emergency telephone numbers, etc.
7.4. The Treasurer – Executive Member
The Treasurer shall:
a) Be responsible for the collection and disbursement of funds for the Club. He/she will receive on behalf of the Club, any revenue due to the Club including but not limited to members annual membership fees, sponsorship and / or donations;
b) Keep proper books of the account on behalf of the Club. When requested produce income and expenditure statements at Executive Meetings;
c) Together with the President and Vice-president be signatories to a bank account held at a registered and authorized bank on behalf of the club;
d) Have bank statements available at all executive meetings;
e) Compile financial statements with a bookkeeper annually for presentation at the General Meeting;
f) Once the statements have been adopted, the audited financial statements are to be submitted to National Steelwings;
g) Maintain an asset register which can be produced at Executive Meetings when requested, as well as the Annual General Meeting.
7.5. The Road Captain – Executive Member
The Road Captain shall:
a) Assist in planning all club rides and will be in charge while the Club is on the road;
b) Ride in front of the pack to show dangers on the road;
c) Liaise with traffic officials in the event of large rides to ensure the safety of all riders;
d) Co-ordinate the marshals;
e) Be responsible for all Club rides in –
* planning routes for rides in conjunction with the Events Co-ordinator;
* command and control of all members in group rides;
* informing members of any hand signal to be used in rides;
* educating members about group riding techniques;
* holding safety meetings before out-rides;
* share safety tips with members.
7.6. The Events Co-ordinator – Executive Member
The Events Co-ordinator shall:
a) Be responsible for the compilation of an annual programme for the Club indicating out-rides, rallies and important events and keep members informed of all events;
b) Be responsible for the planning, co-ordination and organization of Club-rides, including but not limited to rallies;
c) Liaise with the Social Committee to ensure social events for Club members.
7.7 The Public Relations Officer– Executive Member
The Public Relations Officer shall:
a) Be responsible to organize all written materials for the Club;
b) Be responsible for any promotional aspects of the Club;
c) Be in contact with regards to public relations with other Chapters / Clubs;
d) Handle all media communications on behalf of the Club with regards to any charity runs;
e) Be responsible for maintaining the Website.
8. TERM OF OFFICE
8.1 The term of office of any Executive member elected in terms of these by-laws will be for a period of one year.
8.2 Nominations and voting for Executive members will be done at the Annual General Meeting every year. Only paid-up members will be eligible to be nominated as Executive members. Only paid-up members will be in a position to nominate a member for a position on the Executive Committee.
8.3 Nominations will go to a ballot in writing and the nominee receiving the most votes will immediately take office. Only paid-up members will have the right to a ballot at the Annual General Meeting.
9. RESIGNATION OF COMMITTEE MEMBERS
Should a member of the Committee resign from office, they may remain as a member of Steelwings Kimberley. It is therefore imperative that a prospective member to the Committee familiarize himself / herself with the expected duties he / she have to perform and commit to these duties prior to acceptance of a nomination.
10. REMOVAL OF AN EXECUTIVE MEMBER
An Executive member or the entire Executive Committee may be removed from office by a resolution of members supported by a majority of members present at a Special General Meeting which shall be called by the Secretary if requested in writing by ten (10) Chapter members who state the purpose for which the meeting is to be called. Twenty-one (21) days notice will be given of such meeting stating the time and place, at whose instigation the meeting is called and the resolution to be put before such meeting.
Removal of an Executive Member can only be made on the following grounds :
a) a serious violation of the constitution and / or by-laws or any policy promulgated hereunder;
b) inability to perform the functions of the executive office either due to ill health or continued absence from Club activities; or
c) any conduct which constitutes dereliction of such member’s office.
11. DECISION MAKING
11.1 All decisions concerning the Club, and / or its members will be based on a majority vote taken by the Executive Committee or if need be at a full membership meeting.
11.2 The President and Vice President will intervene if necessary in the case of a stalemate or where necessary in any other situation. The President will have the casting vote.
12. MEETINGS AND GATHERINGS
12.1 The Executive Committee meeting is to be held monthly during the week before the Club- meeting takes place.
12.2 Executive Committee meetings can additionally be called whenever necessary to discuss matters pertinent to the Club and are not open to normal members.
12.3 Club-meetings will be held during the first week of every new month for all club members to discuss all current and new issues.
12.4 Club colours shall be worn to all official Club meetings, which will include but not be limited to rides, gatherings and social activities concerning the Club.
12.5 Members will be expected to attend at least one (1) Club-meeting per quarter. If residing outside the borders of Kimberley, a member will be expected to attend one (1) Club-meeting every six (6) months.
13. COMPULSORY RIDES
It will be expected of all members to attend the compulsory rides throughout the year. The Steelwings National Rally will be considered a compulsory ride with one (1) more event throughout the year as decided by the Executive Committee from time to time.
14. CHARITY
The Club should be involved in various charities from time to time and be involved in the community with needy projects.
15. ANNUAL GENERAL MEETING
Notice of the Annual General Meeting must be circulated by the Secretary to members twenty-one (21) calendar days prior to the set date.
16. THE LEGAL STATUS OF THE CLUB
16.1 The Club shall be a separate legal entity independent from its members, with perpetual succession and with the capacity to acquire rights and incur obligations.
16.2 The property and other assets of the Club shall vest in the Club, which shall hold such assets distinct from individual members and members shall have no rights and / or claim to any property or assets of the Club. An asset-register shall be maintained.
16.3 Any obligation lawfully incurred by or for or on behalf of the Club shall be deemed to have been incurred by the Club itself and to the exclusion of the individual
member.
16.4 Funds available for investment may only be invested with a registered financial institution approved by the Executive in consultation with members.
17. COLOURS AND LOGO
17.1 The colours of the Club shall be purple.
17.2 The logo or emblem of the Club shall remain the property of Steelwings Kimberley as well as Steelwings National.
17.3 Upon termination of membership, whether voluntary or otherwise, the club colours/club insignia shall be returned to the Club by the member. In the event of the club colours being lost, stolen or mislaid by a member, such member will be responsible to replace it at his/her own cost.
18. REGULATIONS
18.1 These by-laws shall not replace, supersede and or be in conflict with the National constitution.
18.2 Once accepted and published, the by-laws can only be amended by a special General meeting with a two-third majority vote.
18.3 Notice of a special General meeting to amend the by-laws must be given twenty-one (21) days in advance, to include an agenda and written notification of the amendments and motivations to be tabled at the special General meeting.
19. DISSOLUTION OR WINDING UP OF THE CLUB
In the event of the dissolution of the Club or winding up of the Club, all the remaining funds and assets’ of the Club shall, after paying or making provision for the payment of the liabilities and obligations of the Club, become the property of Steelwings National and be presented to the National President.
20. DISCLAIMER
Whilst the Club remains a separate entity, all members of the Club and the guests participate voluntarily and at their own risk in the activities of the Club. A separate disclaimer forming part and parcel of the affiliation form must be signed by every member indemnifying the Club of any liability arising out of participation and / or injury and / or death arising out of the activities of the Club.
21. BANK ACCOUNT
A Club account should be opened with any bank bearing the name Steelwings Kimberley. The responsibility to open the account is that of the President and the Vice President. The President, Vice President and Treasurer are the only members with signing powers with any two of the three having to sign at any given time.
STEELWINGS KIMBERLEY CODE OF CONDUCT
1. Honour the colours you wear. The reputation of Steelwings Kimberley is in your hands and only you can give the Club a good or bad reputation.
2. Should the conduct of any member in the opinion of the Club Committee, be improper or incompatible with the interests of the Club, or should any member be guilty of offensive conduct, or have committed a breach of the rules of the constitution of by-laws of the Club, such member shall appear before the Executive Committee and shall at the discretion of the Executive Committee, be suspended for a time agreed upon or be requested by the President to hand in his / her written resignation. Should the member fail to resign within seven (7) days of such request, the Executive Committee may expel the member. The decision of the Executive Committee shall be final and binding and an expelled member may not be re-elected as a member of the Club, without the consent of the majority of members present at a meeting of members.
3. The Executive Committee should at all time stand together as a brotherhood.
4. Everyone is here to have fun and ride safe at all times.
5. There should at all times be trust, honour, respect, love and passion amongst Club members.
6. When on a Club out-ride or day gathering, Members are required to wear club-colours.
7. Anyone going on out-rides MUST have a valid driver’s/learner’s license.
8. The Club must always ensure that members ride safely to and from events. The safety of other bikers should always be foremost.
9. Safety meetings shall be held on a regular basis.
10. Members must always ensure that other riders are safe. Camaraderie should always be shown between members.
11. Always be on time for out-rides as communicated by the Road Captain or the Events-Co-ordinator. Departure time will be as communicated and we will not wait for late comers.
12. Fill up your tank before any run. Petrol stops will be planned for those bikes with small tanks, but always start out with your tanks topped off. Let’s be considerate of others’ time.
13. There shall always be a pre-ride discussion before taking off. You will be informed of where will we stop, who are the marshals, what to look out for, what terrain are you going to encounter.
14. When a signal is given, each member of the pack will repeat that signal to alert the riders behind him/her.
15. The most important thing is to ride safely. Regardless of what happens, NEVER take an unsafe or illegal riding manoeuvre just to stay in the pack. Stay in control, stay cool, and maintain safe riding practices.
16. Do not jump position in the pack as this upsets the position of the riders in the pack behind you.
17. When a rider experiences a problem the rest of the Pack is not to stop but to proceed to a suitable place along the road were everyone can safely pull off the road without been a danger to themselves or other traffic. The sweeper will stop to assist the rider in trouble.

* command and control of all members in group rides;
* informing members of any hand signal to be used in rides;
* educating members about group riding techniques;
* holding safety meetings before out-rides;
* share safety tips with members.
7.6. The Events Co-ordinator – Executive Member
The Events Co-ordinator shall:
a) Be responsible for the compilation of an annual programme for the Club indicating out-rides, rallies and important events and keep members informed of all events;
b) Be responsible for the planning, co-ordination and organization of Club-rides, including but not limited to rallies;
c) Liaise with the Social Committee to ensure social events for Club members.
7.7 The Public Relations Officer– Executive Member
The Public Relations Officer shall:
a) Be responsible to organize all written materials for the Club;
b) Be responsible for any promotional aspects of the Club;
c) Be in contact with regards to public relations with other Chapters / Clubs;
d) Handle all media communications on behalf of the Club with regards to any charity runs;
e) Be responsible for maintaining the Website.
8. TERM OF OFFICE
8.1 The term of office of any Executive member elected in terms of these by-laws will be for a period of one year.
8.2 Nominations and voting for Executive members will be done at the Annual General Meeting every year. Only paid-up members will be eligible to be nominated as Executive members. Only paid-up members will be in a position to nominate a member for a position on the Executive Committee.
8.3 Nominations will go to a ballot in writing and the nominee receiving the most votes will immediately take office. Only paid-up members will have the right to a ballot at the Annual General Meeting.
9. RESIGNATION OF COMMITTEE MEMBERS
Should a member of the Committee resign from office, they may remain as a member of Steelwings Kimberley. It is therefore imperative that a prospective member to the Committee familiarize himself / herself with the expected duties he / she have to perform and commit to these duties prior to acceptance of a nomination.
10. REMOVAL OF AN EXECUTIVE MEMBER
An Executive member or the entire Executive Committee may be removed from office by a resolution of members supported by a majority of members present at a Special General Meeting which shall be called by the Secretary if requested in writing by ten (10) Chapter members who state the purpose for which the meeting is to be called. Twenty-one (21) days notice will be given of such meeting stating the time and place, at whose instigation the meeting is called and the resolution to be put before such meeting.
Removal of an Executive Member can only be made on the following grounds :
a) a serious violation of the constitution and / or by-laws or any policy promulgated hereunder;
b) inability to perform the functions of the executive office either due to ill health or continued absence from Club activities; or
c) any conduct which constitutes dereliction of such member’s office.
11. DECISION MAKING
11.1 All decisions concerning the Club, and / or its members will be based on a majority vote taken by the Executive Committee or if need be at a full membership meeting.
11.2 The President and Vice President will intervene if necessary in the case of a stalemate or where necessary in any other situation. The President will have the casting vote.
12. MEETINGS AND GATHERINGS
12.1 The Executive Committee meeting is to be held monthly during the week before the Club- meeting takes place.
12.2 Executive Committee meetings can additionally be called whenever necessary to discuss matters pertinent to the Club and are not open to normal members.
12.3 Club-meetings will be held during the first week of every new month for all club members to discuss all current and new issues.
12.4 Club colours shall be worn to all official Club meetings, which will include but not be limited to rides, gatherings and social activities concerning the Club.
12.5 Members will be expected to attend at least one (1) Club-meeting per quarter. If residing outside the borders of Kimberley, a member will be expected to attend one (1) Club-meeting every six (6) months.
13. COMPULSORY RIDES
It will be expected of all members to attend the compulsory rides throughout the year. The Steelwings National Rally will be considered a compulsory ride with one (1) more event throughout the year as decided by the Executive Committee from time to time.
14. CHARITY
The Club should be involved in various charities from time to time and be involved in the community with needy projects.
15. ANNUAL GENERAL MEETING
Notice of the Annual General Meeting must be circulated by the Secretary to members twenty-one (21) calendar days prior to the set date.
16. THE LEGAL STATUS OF THE CLUB
16.1 The Club shall be a separate legal entity independent from its members, with perpetual succession and with the capacity to acquire rights and incur obligations.
16.2 The property and other assets of the Club shall vest in the Club, which shall hold such assets distinct from individual members and members shall have no rights and / or claim to any property or assets of the Club. An asset-register shall be maintained.
16.3 Any obligation lawfully incurred by or for or on behalf of the Club shall be deemed to have been incurred by the Club itself and to the exclusion of the individual
member.
16.4 Funds available for investment may only be invested with a registered financial institution approved by the Executive in consultation with members.
17. COLOURS AND LOGO
17.1 The colours of the Club shall be purple.
17.2 The logo or emblem of the Club shall remain the property of Steelwings Kimberley as well as Steelwings National.
17.3 Upon termination of membership, whether voluntary or otherwise, the club colours/club insignia shall be returned to the Club by the member. In the event of the club colours being lost, stolen or mislaid by a member, such member will be responsible to replace it at his/her own cost.
18. REGULATIONS
18.1 These by-laws shall not replace, supersede and or be in conflict with the National constitution.
18.2 Once accepted and published, the by-laws can only be amended by a special General meeting with a two-third majority vote.
18.3 Notice of a special General meeting to amend the by-laws must be given twenty-one (21) days in advance, to include an agenda and written notification of the amendments and motivations to be tabled at the special General meeting.
19. DISSOLUTION OR WINDING UP OF THE CLUB
In the event of the dissolution of the Club or winding up of the Club, all the remaining funds and assets’ of the Club shall, after paying or making provision for the payment of the liabilities and obligations of the Club, become the property of Steelwings National and be presented to the National President.
20. DISCLAIMER
Whilst the Club remains a separate entity, all members of the Club and the guests participate voluntarily and at their own risk in the activities of the Club. A separate disclaimer forming part and parcel of the affiliation form must be signed by every member indemnifying the Club of any liability arising out of participation and / or injury and / or death arising out of the activities of the Club.
21. BANK ACCOUNT
A Club account should be opened with any bank bearing the name Steelwings Kimberley. The responsibility to open the account is that of the President and the Vice President. The President, Vice President and Treasurer are the only members with signing powers with any two of the three having to sign at any given time.
STEELWINGS KIMBERLEY CODE OF CONDUCT
1. Honour the colours you wear. The reputation of Steelwings Kimberley is in your hands and only you can give the Club a good or bad reputation.
2. Should the conduct of any member in the opinion of the Club Committee, be improper or incompatible with the interests of the Club, or should any member be guilty of offensive conduct, or have committed a breach of the rules of the constitution of by-laws of the Club, such member shall appear before the Executive Committee and shall at the discretion of the Executive Committee, be suspended for a time agreed upon or be requested by the President to hand in his / her written resignation. Should the member fail to resign within seven (7) days of such request, the Executive Committee may expel the member. The decision of the Executive Committee shall be final and binding and an expelled member may not be re-elected as a member of the Club, without the consent of the majority of members present at a meeting of members.
3. The Executive Committee should at all time stand together as a brotherhood.
4. Everyone is here to have fun and ride safe at all times.
5. There should at all times be trust, honour, respect, love and passion amongst Club members.
6. When on a Club out-ride or day gathering, Members are required to wear club-colours.
7. Anyone going on out-rides MUST have a valid driver’s/learner’s license.
8. The Club must always ensure that members ride safely to and from events. The safety of other bikers should always be foremost.
9. Safety meetings shall be held on a regular basis.
10. Members must always ensure that other riders are safe. Camaraderie should always be shown between members.
11. Always be on time for out-rides as communicated by the Road Captain or the Events-Co-ordinator. Departure time will be as communicated and we will not wait for late comers.
12. Fill up your tank before any run. Petrol stops will be planned for those bikes with small tanks, but always start out with your tanks topped off. Let’s be considerate of others’ time.
13. There shall always be a pre-ride discussion before taking off. You will be informed of where will we stop, who are the marshals, what to look out for, what terrain are you going to encounter.
14. When a signal is given, each member of the pack will repeat that signal to alert the riders behind him/her.
15. The most important thing is to ride safely. Regardless of what happens, NEVER take an unsafe or illegal riding manoeuvre just to stay in the pack. Stay in control, stay cool, and maintain safe riding practices.
16. Do not jump position in the pack as this upsets the position of the riders in the pack behind you.
17. When a rider experiences a problem the rest of the Pack is not to stop but to proceed to a suitable place along the road were everyone can safely pull off the road without been a danger to themselves or other traffic. The sweeper will stop to assist the rider in trouble.
